Effective date: The moment you became a member and were formally approved and gained access to our Affiliate Program.

This “Agreement” provides the terms and conditions of the relationship between you (the “Affiliate”) and MPowered Christian Ministries Inc, (“the Company” or “MCM” or “us”) and its wholly or partially owned members. It describes how we will work together and other aspects of our business relationship. It is a legal document so some of the language is necessarily “legalese” but we have tried to make it as readable as possible.

AFFILIATE

All Affiliates must supply to MPowered Christian Ministries Inc. their Legal First Name, Last Name, Street Address, City, State/Territory, Country, Zip/Postal, Phone, Email.

All Affiliates must agree to the following terms on this page.

In order to participate in the MCM Christian Influencer Affiliate Program (the “Program”) to refer traffic to the Company’s websites and to promote its products and services.

WHEREAS, the Company is the sole owner and operator of the Internet sites known as Empowered365.net and MPoweredChristian.org (the “Company Sites” or “MCM Sites”); and

WHEREAS, the Company has created a Program that enables Affiliates to refer internet traffic to the Company Sites from the website(s), social media channels, or advertising networks of others, or to utilize the community functions on the Company Sites, in exchange for agreed compensation; and

WHEREAS, you are the sole owner of the website(s), social media channels, advertising networks, and all publicly published content, known as (collectively, the “Affiliate Sites”); and

WHEREAS, you desire to participate in the Program, as evidenced by your application, which application the Company may approve or disapprove, at its sole discretion.

THEREFORE, in consideration of the mutual promises herein, the Parties agree as follows:

AFFILIATE RESPONSIBILITIES

It is understood that the Affiliate will introduce Company products and services to their current and prospective customers and will comply with all laws, including those that govern email marketing and anti-spam laws. The affiliate will be fully responsible for any costs related to maintaining or marketing the Affiliate Program, including but not limited to costs associated with creation, hosting, modification, or improvements to the Affiliate Sites; cost of internet and social media marketing; offline marketing costs; postage; and all other costs and expenses. The Company reserves the right to accept or reject any prospective customers. It will pay the Affiliate a commission per customer referred using an affiliate code and according to a designated payment schedule.

NATURE OF PARTNERSHIP

The Affiliate will act as an agent on behalf of the Company by placing links on their Affiliate Sites, and providing affiliate code-embedded website URLs, to direct traffic to the Company to the Company Sites registered at Empowered365.net (includes all product links in your Affiliate Dashboard).

Some Affiliates are also given commissions on purchases at MPoweredChristian.org (when applicable and permission has been given in a separate written Agreement that this is the case). In addition, the Affiliate shall coordinate with the Company to carry out successfully the marketing, publicizing, and promotion of the Company’s products or services.

Any Affiliate Program may be amended or terminated at any time. Information about the Affiliate Program will be available on the Company website. Accordingly, the Affiliate must keep themselves informed of any amendments of Affiliate Programs, particularly if a registered website has terminated its Affiliate Program or changed the conditions for compensation to Affiliates.

TERMS OF THE AGREEMENT

The term of this Agreement will begin upon the Company’s acceptance of the Affiliate’s application. The Affiliate is only eligible to earn commission fees on qualified purchases occurring during the term, and commission fees earned through the date of termination will remain payable only if the orders for the related products and services are not canceled and comply with all the terms laid out in this Agreement. The Company may withhold your final payment of commission fees for a reasonable time to ensure that all qualified purchases are valid and payments from referred customers are authorized, settled, and processed.

Any Affiliate who violates either this Agreement or the Company’s Terms and Conditions will immediately forfeit their right to all accrued commission fees and be removed from the Company Affiliate Program. Without limitation, the Affiliate’s participation in the Program and this Agreement shall be deemed automatically terminated immediately and all commissions forfeited upon the Affiliate’s violation of any of the terms of this Agreement or any applicable law or regulation having the force of law.

CONFIDENTIALITY

The Affiliate promises and agrees to hold any confidential information in strict confidence and trust for the sole benefit of the Company, both during the term of this Agreement and at all times thereafter, and shall not use such confidential information for any purpose, whether or not for consideration, business or personal, other than as may be reasonably necessary for the performance of its duties according to this Agreement, without the Company’s prior written consent.

The Affiliate shall not disclose any confidential information to any person or entity, other than to such of its employees or consultants as may be reasonably necessary for purposes of performing its duties hereunder and have executed agreements of confidentiality no less protective than this Agreement without the Company’s prior written consent. The Affiliate’s obligations include taking all actions necessary to ensure that any affiliates, employees, contractors, agents, customers, members, clients, or students abide by the terms of this section in their entirety.

Confidential information does not include information that:

1. is or becomes publicly known through lawful means;
2. was rightfully in provider’s possession or part of the Affiliate’s general knowledge before the effective date of this Agreement; or
3. is disclosed to the Affiliate without confidential restriction by a third party who rightfully possess the information (without confidential restriction) and did not learn of it, directly or indirectly, from the Company.

INDEMNIFICATION

The Affiliate hereby agrees to indemnify and hold harmless the Company, its subsidiaries and affiliates, and their directors, members, officers, employees, agents, shareholders, partners, and other owners, against any claims, actions, demands, liabilities, losses, damages, judgments, settlements, costs, and expenses (including reasonable attorneys’ fees) (any or all of the foregoing hereinafter referred to as “Losses”) insofar as such Losses (or actions in respect thereof) arise out of or are based on:

1. Any claim that our use of the Affiliate trademarks infringes on any trademark, trade name, service mark, copyright, license, intellectual property, or other proprietary rights of any third party;
2. Any claim related to the Affiliate’s Sites, including, without limitation, its development, operation, maintenance, and content therein not attributable to the Company;
3. Any misrepresentation of a representation or warranty or breach of a covenant and agreement made by the Affiliate herein.

QUALIFICATIONS FOR PARTICIPATION

To qualify for, and be included in, our Affiliate Program, the Affiliate must agree to the Company’s statement of faith and standards of conduct. This pertains to their beliefs and conduct both on and off our platform. Without limiting the ability to reject any application for any reason at the Company’s absolute discretion, the Affiliate will be rejected if:

1. The Affiliate Sites, or credible evidence of Affiliate’s public or private life or communications, are found to disagree, contradict, or oppose the Company’s core purpose to, “Advance the Gospel of Jesus Christ; to educate, deliver, counsel, disciple, train, and mobilize Christians towards individual and global transformation, and advancement of Biblical Evangelical Christianity worldwide.”
2. The Affiliate Sites, or credible evidence of Affiliate’s public or private life or communications, are found to contain images or content that disagrees, contradicts, or opposes the mission and beliefs of the Company in general, but especially the “Empowered365 Network Beliefs” (Core Christian Beliefs, Essential Christian Beliefs, Relevant Moral Beliefs) at https://empowered365.net/pages/mission-beliefs.
3. The Affiliate Sites, or credible evidence of Affiliate’s public or private life or communications, are found to promulgate heretical teachings, unbiblical theology, or sinful or immoral beliefs or behavior.
4. The Affiliate Sites are found to be fraudulent, harmful, deceptive, misleading, threatening, menacing, tortious, or malicious; or contain images or content that promotes violence, abuse, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age; or infringes or violates the rights of any person.
5. The Affiliate Sites contain or promote illegal activities, harassment, defamation, slander, or verbal or written abuse of any kind (including threats of abuse or retribution).
6. The Affiliate Sites intentionally include in their domain names, links, or communications variations or misspellings thereof of Company Sites, trademarks, courses, etc. to deceive organic searches for such things, or otherwise violate the Company’s intellectual property rights or the intellectual property rights of others.

The Affiliate understands that they are a representative of Jesus Christ, the Church, and the Company, and they are expected to be in line with the Bible and above reproach moral/ethical behavior.

The Affiliate understands and agrees, that should they ever struggle with their beliefs or temptation to sin, to first contact the Company for counseling to help remedy the situation before it becomes an issue that would lead to their disqualification and removal.

The Company may reject the Affiliate for any reason at their sole discretion.

MODIFICATION

The Company may modify any of the terms and conditions in this Agreement at any time at their sole discretion. In such an event, the Company will notify the Affiliate by email. Modifications may include, but are not limited to, changes in the payment procedures and Company Affiliate Program rules. If any modification is unacceptable to the Affiliate, their only option is to end this Agreement.

Continued participation in the Company Affiliate Program following the notification of change or new Agreement posting on our site will indicate your agreement to the changes.

AFFILIATE PAYMENT

The Company makes no representations or warranties regarding potential income that may result from the Affiliate Program. Commissions will be paid to the Affiliate based on customers who access the Company Sites through the Affiliate’s Sites. Commissions will be based on gross sales price, not including any sales tax, shipping, special service fees, late charges, collection costs, or any other payment made to the Company that is not the purchase price of the product. Commissions will be based on gross sales price, which is the total purchase amount after any discounts or promotional codes used by the customer.

The percentage paid as commissions is: 25% of all sales made by referral customers that have been associated to your account.

Affiliate commissions are generated after a 30-day delay to allow the Company to reconcile payments. Following the 30-day hold, payments are verified at the end of the month and paid out on the FIRST day of each month OR when the Affiliate’s account balance reaches $25 or more. The Affiliate understands that the Company may change this minimum payout amount at any time.

Affiliate commissions are paid using PayPal. Please create a free account at PayPal and provide your email address to MPowered Christian Ministries Inc. to receive payments. It is your responsibility to make sure that the Company has received your PayPal-associated email address and that your account at PayPal is working properly. If you have technical issues with PayPal it is your responsibility to resolve all issues with PayPal directly.

The Affiliate is responsible for determining if the payout for a link they placed on their site has changed or been discontinued. The Company reserves the right to deduct the costs for any products that are returned or refunded in the subsequent months, attributable to credit card fraud or bad debt write-off, or for any other reason if the previous commission was overpaid.

COOKIES AND REFERRAL ATTRIBUTIONS

An HTTP cookie is a small block of data created by a web server while a user is browsing a website and placed on the user’s computer or other device by the user’s web browser. This is set up using a unique code assigned to each person accepted into the Company’s Affiliate Program. 

All Affiliates receive ready-to-use links in your Affiliate dashboard in your account at Empowered365.net.

Christian Influencer Affiliates and Level 5 Memberships with a Landing Page custom-designed by MPowered Christian Ministries Inc. will receive a unique URL (Empowered365.net/YourBrand) with your code embedded into it. They will also receive ready-to-use links in their Affiliate dashboard in your account at Empowered365.net.

When a referral goes to the Company’s website by clicking your Affiliate link, and then creates an account, their account will be attributed to the Affiliate as their Referrer. Once a referral’s new account is created (with the Affiliate as their referrer) we maintain this relationship for the lifetime of both of your accounts. They will not have to use any Affiliate links for the remainder of their time. The Referral relationship is permanently established. You will receive commission on all their purchases as long as you both have active accounts at Empowered365.net, you are an active member, you remain in our Affiliate Program, and you remain a qualifying participant.

Cookie Duration: Cookies used as part of the Affiliate Program only track the FIRST visit (in a 30 day period). Cookies have a set duration of 30 days. If the customer visits the Company Site, but does not create an account, and then leaves and does not return for over 30 days, and then returns, it will create a new 30-day cookie. An Affiliate will not get credit for a customer sign-up or purchase if that customer does not use one of their Affiliate links, or if they had already visited the Company Sites prior to using the Affiliate link, even if they use the Affiliate’s link when actually signing up or making a purchase for the first time.

Cookies used as part of the Affiliate Program are also internet browser-specific. If the visitor eventually signs up or purchases from a different browser than the one they were using when they first visited with your Affiliate link, then their account will not be attributed to you as the Affiliate. If a potential customer first visits the Company Site using your Affiliate link, but does not create an account, but then clears their cookies during this period, then they would not be attributed to you as the Referrer.

The Company encourages all Affiliates to encourage potential customers to use their Affiliate links and then to sign up and create an account immediately, even if only with a free purchase or by creating a free subscriber account, in order to ensure that their account has been attributed to the Affiliate as their Referrer. The Company shall not be liable for technical errors or misfortunes, including lost profits or business opportunities, or liable for any commissions that may have been owed to you.

DISCLAIMERS AND LIMITATIONS OF LIABILITY

Disclaimer of Warranties: The Company and our affiliated companies and agents make no representations of warranties about the suitability, reliability, timeliness, security, availability, or accuracy of the Company’s products, services, Affiliate Program, or Affiliate Program tools and links, for any purpose. Application Programming Interfaces (APIs) and our Affiliate Program tools and links may not be available at all times. To the extent permitted by law, the Company’s Affiliate Program and tools and links are provided “as is” without warranty or condition of any kind. We disclaim all warranties and conditions of merchantability, fitness for a particular purpose, title and non-infringement.

No indirect Damages: To the extend permitted by law, in no event shall either party be liable for any indirect, punitive, or consequential damages, including lost profits or business opportunities.

NON-EXCLUSIVITY

This Agreement does not create an exclusive agreement between you and us. Both you and we will have the right to recommend similar products and services of third parties and to work with other parties in connection with the design, sale, installation, implementation and use of similar services and products of third parties.

SEVERABILITY

If any provision of this Agreement or part thereof should to any extent be or become invalid or unenforceable, the parties shall agree upon any necessary amendment of the Agreement to achieve the interests and objectives of the parties prevailing at the time of execution of the Agreement.

APPLICABLE LAW

The laws of the States and Country will govern this Agreement, without reference to rules governing choice of laws.

Any action relating to this Agreement must be brought in the federal or state courts located in Saint Petersburg, Florida, United States of America, and the Affiliate irrevocably consents to the jurisdiction of such courts.

The Affiliate may not sign this Agreement, by operation of law or otherwise, without our prior written consent. The Company’s failure to enforce the Affiliate’s strict performance of any provision of this Agreement will not constitute a waiver of the Company’s right to subsequently enforce such a provision or any other provision of this Agreement.

TERMINATION OF AGREEMENT

Either the Affiliate or the Company may terminate the Affiliate relationship at any time. The Affiliate is only eligible to earn Affiliate payments during their time as an approved Affiliate. The Company may change the program or service policies and operating procedures at any time.

IN WITNESS WHEREOF, the Company has caused this Agreement to be signed by a duly authorized officer, and the Affiliate has affixed their signature hereto.

ENTIRE AGREEMENT

This Agreement sets forth the entire agreement and understanding between the Affiliate and the Company relating to the subject matter hereof and thereof and supersedes any prior or contemporaneous discussions, agreements, representations, warranties, and other communications between the Affiliate and the Company, written or oral, to the extent they relate in any way to the subject matter hereof.
